Welcome to the website and online services of the Career Education Foundation (“CEF,” “we,” or “us”), a 501(c)(3) organization. These Terms & Conditions (this “Agreement”) explain the terms under which you may access and use our website, online services, registration systems, and related software (collectively, the “Service”).

By accessing or using the Service, or by clicking an “I Agree” button (or similar), you—the parent or legal guardian of any child being enrolled in CEF programs—acknowledge and agree that you have read, understood, and accept this Agreement. This Agreement applies to all visitors, users, and others who access or use the Service (“Users”).

PLEASE READ THIS AGREEMENT CAREFULLY. IT CONTAINS A MANDATORY INDIVIDUAL ARBITRATION AGREEMENT (SECTION 10.2) AND A CLASS ACTION/JURY TRIAL WAIVER (SECTION 10.3).

1. Our Service

CEF provides an online platform enabling parents and legal guardians to enroll their children in career education, enrichment, exploration, and related CEF programs (each, a “Program” and collectively, the “Programs”). Accessing or using the Service does not guarantee enrollment in any Program. All Programs are operated solely by CEF.

1.1 Eligibility

This is a binding contract between you and CEF. You may use the Service only if:

• you can form a binding contract with CEF;
• you comply with this Agreement and all applicable laws; and
• you are not under age 13.

Users previously removed from the Service are not permitted to use it.

1.2 Limited License

CEF grants you a limited, non‑exclusive, non‑transferable, revocable license to use the Service for personal, noncommercial use only. CEF reserves all rights not expressly granted. We may revoke this license at any time.

1.3 User Accounts

To enroll in Programs or access certain features, you must create a User Account. You agree to:

• provide accurate, complete information;
• maintain the security of your password;
• promptly notify CEF of any unauthorized use;
• accept responsibility for all activity on your User Account.

CEF may terminate or suspend accounts at its discretion, including for extended inactivity.

By providing your email address, you consent to receiving legally required notices and Service‑related communications from CEF.

1.4 Service Rules

You agree not to engage in prohibited activities, including but not limited to:

• unauthorized scraping, copying, or distribution of Service content;
• using bots or automated systems;
• transmitting spam;
• security breaches or attempted breaches;
• impersonation, fraud, or misrepresentation;
• uploading viruses or harmful code;
• commercial solicitation;
• bypassing Service protections; or
• accessing the Service through unauthorized means.

1.5 Changes to the Service

CEF may modify, suspend, or discontinue the Service at any time without notice. CEF may also impose limits or terminate your access for violations of this Agreement.

1.6 Service Location

The Service is operated from the United States and is intended for U.S. users. Users accessing from other locations are responsible for compliance with local laws and U.S. export controls.

2. Indemnity; Waiver of Liability; Assumption of Risk; Medical, Publicity & Safety Terms

2.1 Indemnity

You are solely responsible for your child before and after each Program session. You represent that your child is in good health and able to participate.

You agree to defend, indemnify, and hold harmless CEF, its officers, directors, employees, agents, partners, instructors, and affiliates (“Indemnified Parties”) from all claims, damages, and losses arising from:

• your use of the Service;
• violations of this Agreement or laws;
• User Content you provide;
• misuse of your User Account;
• your child’s participation in Programs.

2.2 Waiver of Liability; Assumption of Risk

You knowingly and voluntarily:

• assume all risks associated with your child’s participation in Programs;
• release the Indemnified Parties from any claims relating to injury, illness, or property damage;
• acknowledge that CEF is not responsible for lost or damaged personal property.

2.3 Medical and Publicity Releases

You authorize CEF staff to administer basic first aid and obtain emergency medical treatment for your child at your expense.

You also grant CEF and its authorized partners a perpetual, worldwide license to use photographs, video, audio, or similar materials (“Materials”) of your child taken during Programs for educational, promotional, and operational purposes, in any media now known or later developed.

To opt out of publicity use, email info@careeredfoundation.org prior to the Program start date.

2.4 Health

You agree to comply with all CEF health and behavior policies. You agree that your child:

• will not attend a Program while experiencing symptoms of contagious illness;
• will follow all Program safety procedures.

CEF cannot guarantee that participants will not become ill.

2.5 Class Recordings

Programs conducted online may be recorded for educational, operational, training, or compliance purposes. Recordings may be accessed by instructors or relevant CEF personnel. CEF will not use recordings containing your or your child’s image for promotional purposes without your express consent.

2.6 Learner Safety

CEF instructors may be required by law to report suspected child abuse or neglect. CEF may also make such reports when appropriate.

3. User Content

You retain ownership of any User Content you submit. By providing User Content, you grant CEF a royalty‑free, sublicensable, transferable, irrevocable, perpetual, worldwide license to use, reproduce, modify, display, distribute, and create derivative works for purposes related to operating or promoting the Service or Programs.

You represent that your User Content:

• does not infringe others’ rights;
• complies with applicable laws;
• is accurate and lawful.

CEF is not responsible for User Content posted by you or others.

4. Our Proprietary Rights

All content, trademarks, graphics, and materials on the Service (“CEF Content”) are the property of CEF or its licensors. You may not copy, modify, distribute, or create derivative works of any CEF Content or software without written permission.

Unauthorized use of the names “Career Education Foundation”, “CEF,” or any CEF Program names for endorsement or affiliation is prohibited.

5. Paid Services

If Programs or Services require payment, you agree to provide accurate billing information and pay applicable fees and taxes. CEF may change pricing or add paid features at any time.

6. Security

CEF uses reasonable measures to protect personal information but cannot guarantee absolute security. You provide information at your own risk.

7. Third‑Party Links

CEF may link to third‑party websites. Accessing third‑party sites is at your own risk, and this Agreement does not apply to those sites.

8. No Warranty

The Service is provided “as is” without warranties of any kind. CEF does not guarantee accuracy, reliability, availability, or security.

9. Limitation of Liability

To the maximum extent permitted by law, CEF is not liable for indirect, incidental, punitive, or consequential damages.
CEF’s total liability shall not exceed the amount you paid to CEF or $50, whichever is greater.

10. Governing Law, Arbitration & Class Action Waiver

10.1 Governing Law

This Agreement is governed by California law. The Federal Arbitration Act governs the arbitration agreement.

10.2 Arbitration

Disputes must be resolved through binding arbitration administered by the American Arbitration Association (“AAA”). Before filing a claim, you agree to attempt informal resolution by emailing info@careeredfoundation.org.

You may opt out of arbitration within 30 days of accepting these terms.

Arbitration will take place in your county of residence or in California.

10.3 Class Action/Jury Trial Waiver

All claims must be brought individually, not as part of a class or representative action.
You and CEF waive the right to a jury trial.

11. General Provisions

11.1 Assignment

You may not transfer your rights under this Agreement. CEF may assign its rights without restriction.

11.2 Changes to the Agreement

CEF may update this Agreement. The “last modified” date will be updated, and notice will be provided via the Service or email.

11.3 Entire Agreement; Severability

This Agreement constitutes the entire agreement regarding your use of the Service. Invalid provisions will be severed, and the remainder will stay in effect.

11.4 No Waiver

CEF’s failure to enforce rights does not constitute a waiver.
